This End User License Agreement ("Agreement") is a legal contract between you ("User," "you," or "your") and BacktestFx ("BacktestFx," "we," "us," or "our") governing your access to and use of BacktestFx's software, services, and website (collectively, the "Service"). By creating an account, purchasing a subscription, or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Acceptance of Terms

By accessing or using the Service, you agree to comply with and be bound by the terms of this Agreement. If you do not agree with these terms, do not use the Service. If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

2. License Grant

BacktestFx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes in accordance with this Agreement and applicable laws.

You may not:

• Copy, modify, distribute, or create derivative works from the Service.
• Use the Service for unauthorized commercial purposes or resell it.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.

3. Subscription and Payment Terms

• Subscription: Access to the Service requires an active subscription. By subscribing, you agree to pay the applicable subscription fees, taxes, and charges associated with your selected plan.
• Payment Methods: You must provide valid and current payment information. By providing payment information, you authorize us to charge your payment method for subscription fees and other applicable charges.
• Renewals: Subscriptions automatically renew unless canceled before the renewal date. You authorize BacktestFx to charge your payment method for renewal fees unless you cancel your subscription.
• Non-Refundable Payments: All payments made to BacktestFx are final and non-refundable. No credits or refunds are provided for partial subscription periods or unused services.

4. Virtual Trading Accounts and Financial Disclaimer

• Nature of Trading Accounts: BacktestFx provides virtual paper trading accounts for the purpose of simulating trading strategies and improving trading skills. These accounts are purely virtual and do not involve real money or actual financial transactions.
• No Funding Required: Users are not required to deposit or pay any real money to fund their virtual trading accounts or participate in simulated trading sessions on BacktestFx. All trading activities conducted within the platform are entirely simulated and use virtual funds provided by BacktestFx.
• No Withdrawals or Real Profits: Any profits or gains realized in a virtual trading account or during a trading session on BacktestFx are purely hypothetical and cannot be withdrawn or converted into real money. The virtual funds and any gains therein exist solely within the context of the platform for the purpose of simulation and learning.
• No Financial Liability for Losses: Any losses incurred or negative balances generated in a virtual trading account or session on BacktestFx have no financial impact on the user. Users are not liable for replenishing virtual funds, covering negative balances, or making any real-world payments in connection with simulated losses.
• Educational and Informational Purpose: The services provided by BacktestFx, including virtual trading accounts, are designed solely for educational and informational purposes. They are not intended to replicate real-world trading conditions or outcomes, nor are they a substitute for professional financial advice.
• Acknowledgment by User: By using the platform, users acknowledge and agree that all trading activities on BacktestFx are entirely virtual, bear no real financial consequences, and are intended exclusively for simulation and skill enhancement.

5. Referral Program Terms

• Referral Links: BacktestFx offers a referral program that allows users to share personalized referral links with others to promote the platform. When a new user signs up through a valid referral link, the referring user ("Referrer") may become eligible for referral earnings, subject to the terms outlined herein.
• Eligibility for Referral Earnings: Referral earnings are awarded when a referred user signs up through the Referrer's referral link and fulfills any specified conditions, such as subscribing to a paid plan or meeting minimum activity thresholds as defined by BacktestFx. The eligibility criteria for referral earnings may vary and are subject to change at the discretion of BacktestFx.
• Earnings and Limitations: Referral earnings are calculated based on the referral program's terms in effect at the time of the referral. These earnings are non-transferable and are credited to the Referrer's account within the platform. BacktestFx reserves the right to adjust, withhold, or cancel referral earnings in cases of suspected abuse, fraudulent activities, or violations of the referral program's terms.
• Withdrawal of Referral Earnings: Referrers may request a withdrawal of their referral earnings once the accumulated amount reaches the minimum withdrawal threshold as specified by BacktestFx. Withdrawal requests must be made through the platform’s designated withdrawal process, and payments will be made to the payment method provided by the Referrer, subject to verification and approval.
• Processing Time and Fees: Withdrawals of referral earnings may be subject to processing times and applicable fees. BacktestFx is not liable for delays caused by payment processing systems, incomplete user information, or other unforeseen circumstances.
• Disqualification from Program: BacktestFx reserves the right to disqualify users from the referral program if they engage in prohibited activities, including but not limited to:
• Spamming or excessive promotion.
• Using fraudulent or deceptive means to acquire referrals.
• Violating the platform’s Terms of Use or any applicable laws.
• Program Modifications: BacktestFx may modify, suspend, or terminate the referral program at any time without prior notice. Users will be notified of any significant changes through updates on the platform or via email communication.
• Acknowledgment of Terms: By participating in the referral program, users acknowledge and agree to abide by the terms set forth in this section. BacktestFx reserves the right to interpret and enforce these terms in its sole discretion.

6. User Responsibilities

By using the Service, you agree to:

• Provide accurate and complete information during registration and maintain the confidentiality of your login credentials.
• Use the Service only for lawful purposes and in compliance with this Agreement.
• Accept full responsibility for all activity conducted under your account.
• Not engage in any activity that disrupts, damages, or interferes with the Service.

BacktestFx reserves the right to suspend or terminate your account if any unauthorized or prohibited activity is detected.

7. Intellectual Property

The Service and all related materials, including but not limited to software, graphics, logos, and trademarks, are the sole property of BacktestFx and are protected by intellectual property laws. This Agreement does not grant you any ownership rights in the Service or its content.

You may not use BacktestFx’s trademarks, logos, or other proprietary information without our prior written consent.

8. Data Collection and Privacy

BacktestFx collects and processes personal data in accordance with our Privacy Policy. By using the Service, you agree to the terms outlined in the Privacy Policy, including data collection, storage, and usage practices.

9. Prohibited Activities

You agree not to:

• Use the Service for illegal or unauthorized purposes.
• Exploit the Service to infringe on the rights of others.
• Upload or distribute harmful materials such as malware, viruses, or spam.
• Attempt to gain unauthorized access to the Service or BacktestFx's systems.

Violation of these restrictions may result in the immediate termination of your account and legal action.

10. Termination

• By You: You may terminate your subscription at any time through your account settings. Termination will take effect at the end of your current billing cycle.
• By Us: BacktestFx may suspend or terminate your account at any time without notice if:
• You breach this Agreement.
• Your account is inactive for an extended period.
• We are required to do so by law.
• Effect of Termination: Upon termination, you will lose access to the Service. BacktestFx will not refund any payments already made, and we may retain your data as permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, BacktestFx will not be liable for:

• Indirect, incidental, special, or consequential damages arising from your use of the Service.
• Loss of data, revenue, or profits resulting from the use or inability to use the Service.

BacktestFx’s total liability under this Agreement will not exceed the amount you paid in subscription fees in the twelve (12) months preceding the claim.

12. Dispute Resolution

Any disputes arising out of or relating to this Agreement will be resolved through arbitration in Federal Court (Abuja/Lagos, Nigeria), unless prohibited by law. You waive your right to participate in a class-action lawsuit or class-wide arbitration.

13. Changes to the Agreement

BacktestFx reserves the right to modify this Agreement at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Agreement.

14. Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], without regard to its conflict of law principles.
